1. Acceptance of Terms

By accessing or using PlatePrompts ("Service"), available at plateprompts.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and PlatePrompts ("we," "our," or "us").

2. Description of Service

PlatePrompts is an AI-powered marketing copy generation tool built for the foodservice equipment industry. It allows users to upload product documentation, such as spec sheets and product manuals, and generate channel-ready marketing copy, distributor copy, sales scripts, and social media content. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Eligibility

You must be at least 18 years of age and authorized to act on behalf of any business entity you represent to use this Service. By using the Service, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.

4. Account Registration

To access certain features, you may be required to create an account. You agree to:
  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Notify us promptly at admin@interactiveiterations.com if you become aware of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to use the Service to:
  • Violate any applicable local, state, national, or international law
  • Transmit spam, unsolicited messages, or harmful content
  • Attempt to gain unauthorized access to any systems or networks
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Upload or transmit malicious code, viruses, or harmful software
  • Scrape, crawl, or systematically harvest data from the Service without written permission
  • Use the Service in any way that could damage, disable, or impair the Service or servers

6. User Content and Uploaded Documents

PlatePrompts allows you to upload product documentation, including spec sheets and product manuals, for the purpose of generating marketing copy. The following terms govern how your uploaded content is handled:

6.1 Document Storage

Uploaded documents are stored on our servers to support ongoing use and regeneration of copy. You retain full ownership of all documents you upload. You may delete any uploaded document at any time from within the Service, and deletion is permanent - neither the original file nor the extracted text derived from it will be retained after deletion.

6.2 Text Extraction and AI Processing

When you upload a document, PlatePrompts extracts the text content and transmits that extracted text, not the original file, to our AI processing infrastructure for the purpose of generating copy. The document file itself is not transmitted to any AI service. Extracted text may also be used in subsequent regeneration requests, combined with your additional instructions and any previously generated copy drafts, to refine output.

6.3 Third-Party AI Processing

Extracted text is processed through a third-party AI service as part of copy generation. We take reasonable steps to work with providers whose data handling practices are consistent with the protections described in this agreement. We do not authorize our AI processing providers to use your content to train their models. However, you should be aware that content transmitted to third-party services is subject to those providers' terms of service and privacy policies.

6.4 Your Representations

You represent and warrant that you own or have the necessary rights to any document you upload, and that uploading and processing that content does not infringe any third-party intellectual property rights or violate any confidentiality obligations.

7. Intellectual Property

All content, features, and functionality of the Service - including but not limited to software, text, graphics, logos, and design, are the exclusive property of PlatePrompts or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, service marks, or other proprietary branding.
Generated copy output is provided for your use. We make no claim of ownership over copy generated from your uploaded content.

8. Third-Party Services

The Service integrates with third-party services including AI processing providers and analytics tools. Your use of any third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the content, practices, or policies of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or fitness for any particular purpose of any AI-generated copy output.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLATEPROMPTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless PlatePrompts and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may request deletion of your account and all associated data at any time by contacting us at admin@interactiveiterations.com.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If changes are material, we will make reasonable efforts to notify registered users.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PlatePrompts regarding your use of the Service and supersede all prior agreements.
